1. Acceptance of Terms

By accessing or using this dashboard, subscription services, and associated data prediction services (the "Service"), you agree to be bound by these Terms of Use. Access is strictly limited to United States persons and entities. If you do not agree to these terms, or if you do not meet the eligibility requirements, please do not use the Service.

2. Eligibility: US Persons and Entities Only

Strict Usage Restriction: The Service, including all data, maps, and predictions, is available exclusively to persons who are citizens or permanent residents of the United States and business entities organized under the laws of the United States ("US Persons").

  • Certification: By accessing the Service, subscribing, or downloading data, you expressly certify and warrant that you are a US Person or a US Entity.
  • Foreign Restrictions: Access, use, or data retrieval by foreign persons, foreign governments, or non-US entities is strictly prohibited.
  • Termination: We reserve the right to immediately terminate accounts and access without refund if we discover or reasonably suspect access by non-US persons.

3. Description of Service

The Service provides access to a web-based dashboard that displays geographic data, predictive modeling for vessel locations based on AIS data, and allows users to download GeoJSON files.

4. Account Management and Security (Clerk)

To access subscription features, you must register for an account.

  • Authentication: User authentication and account management are handled by Clerk. By creating an account, you agree to Clerk's terms of service and privacy policy regarding the storage of your login credentials.
  • Security: You are responsible for maintaining the confidentiality of your login credentials. You are responsible for all activities that occur under your account.

5. Subscription and Payments (Stripe)

  • Billing Cycle: The Service is offered on a monthly subscription basis that auto-renews automatically at the end of each billing period.
  • Payment Processing: Payments are processed securely via Stripe (integrated with Clerk). We do not store your full credit card information on our servers.
  • Cancellation: You may cancel your subscription at any time via your account dashboard.
  • No Refunds: If you cancel your subscription, refunds are not offered for partial months. Your access to the paid features will continue until the end of the current billing cycle.

6. Commercial Use and Strict Data License

Limited Commercial License: A valid paid subscription grants you a non-exclusive, non-transferable, revocable license to use the data and predictions for internal commercial purposes, such as internal maritime intelligence analysis and conservation planning.

Strict Prohibitions on Resale and Integration: You are expressly prohibited from:

  • No Resale: Selling, licensing, sublicensing, leasing, or distributing the raw GeoJSON files, predictive data, or any derivative works to third parties.
  • No Integration: Integrating, merging, or commingling the data with other datasets, software, or platforms for the purpose of creating a new product or service for external use without the explicit, written approval of Andromeda AI LLC.
  • No External API Use: Using the Service to populate, update, or train third-party databases or AI models.
  • Ownership: You acknowledge that all data remains the intellectual property of Andromeda AI LLC.

7. Critical Maritime Disclaimer & Use at Your Own Risk

IMPORTANT: The predictions provided by this Service are estimates based on historical AIS data and machine learning models.

  • NOT FOR NAVIGATION: The Service is provided for informational purposes only. It is not intended to be used for marine navigation, collision avoidance, or safety of life at sea.
  • NO GUARANTEE: We do not guarantee the actual location of any vessel at any future time.

YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE AND ANY DATA OBTAINED THROUGH THE SERVICE IS AT YOUR SOLE RISK. The geographic data, maps, and downloadable files are provided on an "as-is" and "as-available" basis without any warranties of any kind.

8. Data Accuracy and Reliability

We make no representations or warranties regarding the accuracy, completeness, timeliness, or reliability of any data provided through the Service. Geographic data may contain errors, omissions, or inaccuracies. Users are responsible for independently verifying the accuracy of any data before making decisions.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ANDROMEDA AI LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits or revenue
  • Business interruption
  • Loss of data or information
  • Financial losses of any kind
  • Property damage or Personal injury
  • Any other damages arising from your use of the Service or reliance on the data provided

This limitation applies regardless of the theory of liability, whether based on warranty, contract, statute, tort (including negligence), or otherwise.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or completeness of data
  • Uninterrupted or error-free operation

11. Indemnification

You agree to indemnify, defend, and hold harmless Andromeda AI LLC and its affiliates from and against any claims, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of the US-only eligibility requirements.

12. Service Availability

We do not guarantee that the Service will be available at all times. The Service may be temporarily unavailable due to maintenance, technical issues, or other factors beyond our control.

13. Changes to Terms

We reserve the right to modify these Terms of Use at any time. Changes will be effective immediately upon posting. Your continued use of the Service after any changes constitutes acceptance of the new terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida and the United States of America. Any use of the Service inconsistent with United States export control laws is strictly prohibited.
